Terms and Conditions

By using Visonic AI’s website or any products and services offered by Visonic AI (“Visonic,” “we,” “our,” or “us”), you are agreeing to these Terms of Service (“Terms”).
Please read these Terms carefully. Violation of these Terms may, at our discretion, result in the termination of your account and access to the Service.
1. Definitions
- Service(s): Refers to our website and all products created and maintained by Visonic AI, including the automated audio description generation platform, API access, and related services, whether delivered via a web browser, desktop application, or other format.
- Customer Content: Any video files, audio tracks, text, scripts, or associated metadata uploaded by you to the Service for processing.
- Generated Output: The files produced by Visonic AI based on Customer Content, including but not limited to, audio description scripts, generated audio files, and translation files.
- Subscription Customer: A customer who pays a monthly fee for access to the Service.
- Enterprise Customer: A customer operating under a separate, executed Master Service Agreement (MSA) or Statement of Work (SOW).
- You/Your: Refers to the people or organizations that own an account with the Service.
2. General Account Terms
A. Account Requirements
- You must be 18 years or older to use this Service.
- You must be a human. Accounts registered by “bots” or other automated methods are not permitted, except through our designated API (which is subject to its own usage guidelines).
- You must provide accurate and complete information during the registration and billing process.
B. Security and Passwords
- You are responsible for maintaining the security of your account login credentials. Visonic AI cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
- You must immediately notify Visonic AI of any unauthorized use of your account or any other breach of security.
3. Payment, Billing, and Refunds
A. Subscription Billing
- Monthly Subscription Fee: Subscription Customers will be charged a recurring monthly fee based on the plan selected at the time of signup. All fees are exclusive of applicable taxes.
- Authorization: By providing Visonic AI with your payment information, you authorize us to charge your credit card or other designated payment method for all applicable fees on a recurring monthly basis until you cancel your subscription.
- Enterprise Billing: Payment terms and methods for Enterprise Customers are defined exclusively within their executed MSA or SOW.
B. Price Changes
We reserve the right to change our subscription prices upon 30 days’ notice. Such notice may be provided at any time by posting the changes on the Visonic AI website or in the application, or via email. Your continued use of the Service after the price change constitutes your agreement to the new price.
C. Refunds
All refunds are subject to the terms outlined in our separate Refund Policy.
4. Ownership, Rights, and License
A. Customer Content Ownership
You retain all intellectual property rights and ownership of the Customer Content (your original video files and underlying assets) you upload to the Service. Visonic AI acquires no ownership interest in your Customer Content.
B. License to Visonic AI
By uploading Customer Content, you grant Visonic AI a limited, temporary, non-exclusive, royalty-free, worldwide license to use, reproduce, process, and display your Customer Content solely for the purpose of operating the Service and generating the Generated Output for you. This license is extinguished upon the deletion of the Customer Content as outlined in the Privacy Policy.
C. Generated Output Ownership and License
- Ownership: Upon successful payment for the Service, Visonic AI grants you a perpetual, worldwide, fully-paid, royalty-free, sublicensable, and transferable license to use, copy, modify, distribute, and otherwise exploit the Generated Output (the audio description scripts, audio files, and translation files) for any purpose, commercial or otherwise.
- Visonic AI IP: You acknowledge that the core Visonic AI computer vision models, AI generation algorithms, and the underlying Service technology remain the exclusive property of Visonic AI.
- No Model Training: As stated in our Privacy Policy, Visonic AI does not use your Customer Content to train our proprietary AI models.
5. Acceptable Use and Restrictions
A. Lawful Purposes
You agree to use the Service only for lawful purposes. You must not use the Service to upload, process, or distribute any Customer Content that:
- Violates any local, state, national, or international law or regulation.
- Infringes on the intellectual property, privacy, or publicity rights of any third party.
- Is defamatory, libelous, threatening, or harassing.
B. Prohibited Actions
You agree not to, and will not permit any third party to:
- Modify, adapt, or hack the Service or modify another website so as to falsely imply that it is associated with the Service.
- Reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service without the express written permission of Visonic AI.
- Use the API in a manner that constitutes excessive or unreasonable usage, as determined by Visonic AI in its sole discretion.
6. Cancellation and Termination
A. Cancellation by You
- Subscription Customers: You can cancel your subscription at any time directly through your account settings. Cancellation will take effect at the end of your current paid billing cycle.
- Enterprise Customers: Cancellation terms are defined in your specific MSA or SOW.
B. Visonic AI Termination
We reserve the right to suspend or terminate your account and refuse any and all current or future use of the Service for any reason at any time, including, but not limited to, unauthorized use of the Service, violation of Section 5, or failure to pay required fees. Visonic AI will not be liable to you or any third party for any suspension or termination of your account.
C. Data Deletion upon Cancellation
Upon cancellation, your Customer Content and associated account data will be permanently deleted in accordance with the timelines specified in our Privacy Policy (typically within 30 days of cancellation from active servers).
7. Disclaimer of Warranties and Limitation of Liability
A. Disclaimer of Warranties
The Service is provided on an “as is” and “as available” basis. Your use of the Service is at your sole risk. Visonic AI expressly disclaims all warranties of any kind, whether express, implied or statutory, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Visonic AI does not warrant that (i) the Service will meet your specific requirements, (ii) the Service will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the Service will be accurate or reliable, or (iv) any errors in the Service will be corrected.
B. Limitation of Liability
You expressly understand and agree that Visonic AI shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Visonic AI has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the Service; (ii) unauthorized access to or alteration of your Customer Content or data; (iii) any other matter relating to the Service.
8. General Terms
A. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New South Wales, Australia, without regard to its conflict of law provisions.
B. Changes to Terms
Visonic AI reserves the right to update or change these Terms at any time. If the changes are material, we will notify you via email or a prominent notice within the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any such changes constitutes your acceptance of the new Terms of Service.
C. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
